AHP advises PT Bukalapak.com Tbk in its IPO
Assegaf Hamzah & Partners acted as the Indonesian legal counsel to PT Bukalapak.com Tbk., an Indonesian-based technology company founded in 2010 focusing on helping to create a fair economy for all, on its IPO on 6 August 2021. Bukalapak offered 25,765,504,800 shares with an offering price of IDR 850/share. The shares are also offered to international investors under Rule 144A/Reg. S of the US Securities Act 1933. The proceeds of the IPO, which is approximately IDR 21.9 trillion, will be used to strengthen Bukalapak’s financial position, enabling it to continue to invest in various products and services to drive further performance, profitability, and sustainability. This IPO is historical, not only because Bukalapak is the first multi-commerce company to list in the IDX but is also the first homegrown start-up unicorn to go public in Indonesia and Southeast Asia. The IPO is also the biggest in Indonesia’s stock exchange history.
UBS AG Singapore Branch and Merrill Lynch (Singapore) Pte. Ltd act as the Joint Global Coordinators and International Selling Agents to market the shares to international investors. Meanwhile, PT Mandiri Sekuritas and PT Buana Capital Sekuritas act as the Joint Lead Managing Underwriters.
PT UBS Sekuritas Indonesia, PT Mirae Asset Sekuritas Indonesia, PT Bahana Sekuritas, PT BCA Sekuritas, PT BNI Sekuritas, PT BRI Danareksa Sekuritas, PT Ciptadana Sekuritas Asia, PT Investindo Nusantara Sekuritas, PT Lotus Andalan Sekuritas, PT Panin Sekuritas Tbk., PT Philip Sekuritas Indonesia, PT Samuel Sekuritas Indonesia, PT Sinarmas Sekuritas, PT Sucor Sekuritas, PT Trimegah Sekuritas Indonesia Tbk., PT Valbury Sekuritas Indonesia, PT Victoria Sekuritas Indonesia, PT Wanteg Sekuritas, and PT Yuanta Sekuritas Indonesia were appointed as Underwriters.
Partners Tunggul Purusa Utomo and Mohamad Renaldi Zulkarnain led the transaction, together with Partner Farid Nasution, Senior Associates Imanuel F Rumondor, Derry Patra Dewa, Associates Aji Suryo Utomo, Wyncent Halim, Andin Aditya Rahman, Nalendra Wibowo, Achmad Faisal Rahman, Ingrid Gratsya Zega, Edwina Chairmanda Afla, Fahdrazi Fajar Fahmy, Muhammad Luthfi, Ananda Kiranatasha Ichsani, Samuel Valentino, Kalvin Dewantara, Shannon Suryaatmadja, and Paralegal Qiyam Perwira Buana.
